Joseph Cacace to Present at MCLE Program for Advising Clients on Directors’ & Officers’ Liability Insurance
Todd & Weld’s Joseph Cacace will serve as a presenter at an upcoming program hosted by Massachusetts Continuing Legal Education (MCLE) focused on Directors & Officers (D&O) liability.
The program will provide a comprehensive overview of the legal framework governing claims involving corporate directors and officers. Attendees will gain a detailed understanding of fiduciary duties, including the duties of care and loyalty, and how alleged breaches can give rise to liability. The panel will also examine common sources of claims, such as shareholder derivative actions, regulatory investigations, and employment-related disputes, using practical examples to highlight litigation risk and exposure.
In addition, the program will address the structure and operation of D&O insurance, including policy components, coverage limits, exclusions, and claims-handling considerations. Joe will offer practical guidance drawn from his extensive litigation experience, including strategic considerations from case inception through resolution in matters involving claims against corporate officers and directors.
